1. GENERAL BY-LAWS
1.1. The Lithuanian society of Operational Research (LITORS) is an independent voluntary public organization, which unites the experts in the field of operations research and their applications, actively working for development of information society in Lithuania. LITORS is formed and it works on a basis of voluntary principles and equality of its members, self-management and publicity.
1.2. LITORS is a republican voluntary association, which carries out its activities on the territory of Republic of Lithuania in accordance with the Constitution of Republic of Lithuania, with the Law of Republic of Lithuania
"On the voluntary public unions”,
the norms of the International Laws and the current Statutes.
1.3. LITORS is a legal juridical person, has its property, a seal, stamps, forms with its name, emblem and other symbolic, independent balance and bank accounts.
The emblem represents an oval which contains in the left side the letters “Lit” (initial letters of the word “Lithuanian”, and in the right side the letter “ORS” (initial letter of the words “Operational Research Society”). See figure 1.

1.4. LITORS can join the republican and international voluntary associations, it may support international contacts and communications, sign the corresponding agreements, contracts, and other documents.

2. OBJECTS AND METHODS OF ACTIVITIES
2.1. The objects of LITORS are:
- Encouraging theoretical and applied researches in the field of operational research, developing information society in Lithuania;
- Promoting the international connections and gaining the prestige of the Lithuanian scientists and experts, which work in the field of Operational Research;
- Maintaining rights and interests of its members.
2.2. To realize these objects, LITORS concentrates on the following tasks:
- Conducting the scientific researches and applied works in the field of Operational Research;
- Forecasting and promotion of the new perspective branches of the Operational Research;
- Conducting the independent scientific expertise of the projects in the field of Operational Research, formulating the reasonable recommendations for their practical application;
- Propagation of the achievements in the field of Operational Research by means of lectures, publishing books and articles, creating popular scientific programs using mass media;
- Promoting the activities of other voluntary organizations in the field of operational research;
- Management for information service to Lithuanian and foreign state, public and private institutions;
- Editorial activities in publishing the scientific, popular scientific literature, handbooks, specialized newspapers, bulletins and magazines in the field of Operational Research;
- Organizing the competitions on the best research and applied work in the field of Operational Research;
- Organizing the conferences, seminars, symposiums, exhibitions, meetings in the field of operational research;
- Encouraging the teaching of Operational Research.
2.3. In order to attain the purposes above, the activities of LITORS may include:
- Creating the institutes, enterprises, funds, courses for raising the level of the skill in the field of operational research, and other institutions;
- Making the contracts;
- Acquiring and management the property for activity, considered by this Statute, except the objects being in a state ownership;
- Editing and advertising, publishing the results of scientific researches;
- Representing the members of LITORS to the awards of other organizations and countries;
- Creating representations of LITORS in other countries;
- Organizing interconnections with scientific and industrial associations, other state and voluntary institutions; promoting cooperation with firms, universities, institutions and societies of other states; participating in international scientific congresses, conferences, symposiums, meetings, exhibitions and other events.
The forms and conditions of cooperation LITORS with other foreign and international organizations are regulated by the special agreements, which do not contradict to the Statutes of the LITORS and these organizations, and with the legislation of Republic of Lithuania as well.
3. MEMBERSHIP
3.1. To become a LITORS member one should have scientific papers in Operational Research, should acknowledge the LITORS Statutes, and should pay registration and annual membership fee.
3.2. A decision on the membership is accepted by the majority on a session of LITORS Council. The majority is considered respectively to the number of Council members who are present at the session.
3.3. The LITORS members have the rights:
- To elect and to be elected in elective bodies of LITORS;
- To receive the information on activities of the elective bodies of LITORS;
- To formulate the proposals on LITORS activities to the elective bodies and to participate in their discussions with the right of a consultative vote;
- To participate in the LITORS sessions, to take part in the discussions on the authorized and professional activities of LITORS;
- To use the property of LITORS in the order established by the Council;
- To use scientific, tutorial and information materials of LITORS;
- To participate in the conferences, congresses, seminars, symposiums, schools on behalf of LITORS;
- To have business trips in the frameworks of LITORS activities;
- To participate in the conferences, congresses, seminars, symposiums and scholarships conducted by LITORS;
- To withdraw from the LITORS.
The members of LITORS use privileges on information maintenance and on the products of LITYORS as well as on other rights, which are established by the Conference of LITORS.
3.4. The members of LITORS are obliged:
- To carry out by-laws of the present Statutes, to pay regularly the membership fee.
3.5. A member of LITORS may be withdrawn from the Society for the activity which contradicts to the Statutes. The decision on a withdrawal from LITORS is accepted by the majority of votes on a session of a LITORS Council.
3.6. In a case of withdraw, the membership fees are not returned to the former member.
3.7. The decision on exception a member of LITORS can be appealed to the LITORS Conference. The former LITORS member can be accepted once more to LITORS after a year since withdraw on the common conditions.
 
4. THE STRUCTURE AND ELECTIVE BODIES
4.1. The supreme body of LITORS is a Conference, which is convoked once in three years. The extraordinary Conference may be convoked under the decision of the Council, or on the demand of no less than one third of the LITORS members, or under the decision of an Auditing Commission. The agenda, the place and the date of the Conference is determined by the Council of LITORS. The members of LITORS should be informed about the Conference not later than in a month. Conference is competent if no less than two thirds of LITORS members are present. The form and conditions of voting are defined by the Conference.
4.2. Conference :
- Defines the basic directions of LITORS activities;
- Accepts the Statutes, formulates the changes and amendments to the Statutes;
- Elects a Council for the period of three years, a president, vice-presidents (under the proposal of the president), the chairman and members of an Auditing Commission;
- Defines the articles of the charges of LITORS and asserts the budget;
- Asserts the decisions of the Council;
- Adopts a decision on the termination of activity of LITORS;
- Considers other questions of activity.
4.3. The Council is a managing body of LITORS. It supervises overall activities of LITORS in-between its Conferences.
Plenums of the Council are held not rare than once in half a year. The session of the Council is considered competent, if no less than two thirds of the Council members are present.
A decision of the Council is accepted if the majority of its members has voted for it.
4.4. Council:
- Defines forms, methods, and ways of implementing the decisions of Conference;
- Makes modifications and additions to the Statutes with the subsequent assertion by the Conference;
- Determines the registration and membership fees.
- Asserts the budget and estimate the charges of LITORS, determines the charges for extraordinary activities.
- Defines a structure of the apparatus of the Council, asserts its staff and official salaries for the workers.
- Asserts samples of a seal, a stamp, an emblem and other attributes of LITORS.
- Forms commissions, sections and other voluntary formations of LITORS.
- Provides economic activity of LITORS.
- Accepts and withdraw the members of LITORS.
- Solves other questions of authorized activity of LITORS.
4.5. The president of LITORS has all rights of the chief of the legal juridical person. He is a manager of the credits, organizes the work of the permanent members of staff of the apparatus of the Council, represents interests of LITORS and its members in state bodies, in their interconnections with the enterprises, organizations, establishments and voluntary institutions of Republic of Lithuania and of other countries, carries out some other functions.
The president is in the chair of the sessions of the Council, defines the responsibilities of vice-presidents, scientific secretary and treasurer.
4.6. Auditing Commission of LITORS is an inspecting and auditing body. The work of Auditing Commission is supervised by its chairman. The session of Auditing Commission is competent if there are present no less than two thirds of its members. A decision of a commission is accepted, if the majority has voted for it.
4.7. Auditing Commission of LITORS:
- Audits and inspects the activities of elective bodies, enterprises and other structures of LITORS.
- Checks the documents and the record keeping.
- Inspects the fulfillment of the present Statutes by the members of LITORS and obligations of the collective members.
4.8. The members of Auditing Commission cannot be elected in other elective bodies of LITORS, as chiefs and main experts of the structures of LITORS. The decisions asserted by the Auditing Commission are obligatory for all members, elective bodies and other structures of LITORS. The members of Auditing Commission can participate in the activity of all elective bodies of LITORS with the right of a consultative vote.
 
5. FINANCES AND PROPERTY
5.1. The budget and the property of LITORS is formed on the basis of registration and membership fees, sponsoring payments and donations of the citizens, enterprises, institutions, organizations of Republic of Lithuania and other countries; the incomes of publishing and manufacturing activities; profits from organizing in frameworks of LITORS the conferences, symposiums, lectures, exhibitions and other events.
5.2. LITORS is not responsible for the debts and obligations of its members, as well as the members are not responsible for debts and obligations of LITORS.
5.3. LITORS is not responsible for the debts and obligations of its manufacturing structures, if it is not provided in their statutes.
 
6. INTERNATIONAL RELATIONS OF LITORS
6.1. LITORS may become a member of international (non-governmental) organizations, to support direct international contacts and connections, to conclude the appropriate agreements, to participate in realization of measures, not contradicting to the international obligations of Republic Lithuania and its legislation.
6.2. LITORS may carry out international foreign economic relations according to the current legislation of Republic of Lithuania.
 
7. TERMINATION OF LITORS ACTIVITY
7.1. LITORS activity can be terminated under the decision of the Conference if more than two thirds of the members LITORS vote for this, or under the decision of court.
7.2. If any property is left after terminating LITORS activity, then it is used by a liquidating commission according to the authorized purposes.
